Terms of Service

These Terms of Service (the Terms) form a binding agreement between you and MaffeiFlow, a studio based in Dubai, United Arab Emirates (MaffeiFlow, we, us, or our), and govern your access to and use of the MaffeiTools website, including any pages, tools, features, content, and services we provide through it (collectively, the Service).

By accessing or using the Service in any way — including loading a page, running a tool, creating an account, or submitting a form — you confirm that you have read these Terms and agree to be bound by them. If you don’t agree, please don’t use the Service.

These Terms work together with our Privacy Policy, which explains how we handle your data. Where the two documents address the same topic, the relevant document controls.

By using the Service, you represent and warrant that:

• You are at least 13 years old, or the age of digital consent in your jurisdiction, whichever is higher.
• You have the legal capacity to enter into a binding contract under the laws that apply to you.
• You are not barred from using the Service under any applicable law or by a previous suspension or termination of your access by us.
• You will use the Service only in compliance with these Terms and all applicable laws and regulations.

If you’re using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and you in these Terms refers to that entity as well as to you personally.

Most MaffeiTools utilities don’t require an account. Some features may, in which case you’ll be prompted to sign up. When you create an account, you agree to:

• Provide accurate, current, and complete information, and keep it up to date.
• Choose a strong password and keep your credentials confidential. You’re responsible for all activity under your account.
• Notify us promptly at support@maffeiflow.com if you suspect unauthorized access or a security incident.
• Use only one account per person unless we explicitly agree otherwise, and not share your account with anyone else.

We may suspend or terminate your account if information you provide is inaccurate, if we reasonably suspect a violation of these Terms, or if we’re required to do so by law. Where possible, we’ll give you notice and an opportunity to respond before doing so.

You may use the Service for lawful purposes only and in line with these Terms. You agree not to:

• Violate any applicable law or regulation, or use the Service to facilitate illegal activity.
• Send unsolicited or unauthorized advertising, junk mail, spam, chain letters, or any other form of duplicative or unsolicited messages.
• Impersonate MaffeiFlow, a MaffeiFlow employee, another user, or any other person or entity, or misrepresent your affiliation with any of them.
• Use the Service to harass, abuse, defame, threaten, or otherwise violate the legal rights of others.
• Upload, transmit, or distribute material that contains viruses, worms, ransomware, or any other malicious code or content designed to interfere with or compromise systems.
• Probe, scan, or test the vulnerability of the Service or any related system or network, or breach any security or authentication measure, except as part of a responsible disclosure program we’ve approved in advance.
• Use any robot, spider, scraper, or other automated means to access the Service in a way that imposes an unreasonable load on our infrastructure or attempts to extract data beyond what’s available through normal interactive use.
• Engage in any conduct that restricts or inhibits anyone’s ability to use or enjoy the Service, or that we reasonably determine could harm MaffeiFlow, our users, or third parties.

We may investigate suspected violations and take any action we deem appropriate, including removing content, suspending or terminating accounts, and cooperating with law enforcement.

The Service and everything that makes it up — including the MaffeiTools name and logo, the design, the source code, the visual identity, the text, graphics, illustrations, and the underlying architecture — is owned by MaffeiFlow or our licensors and is protected by copyright, trademark, and other intellectual property laws in the United Arab Emirates and internationally.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for personal, non-commercial purposes. This license doesn’t give you any ownership interest in the Service or its contents.

You agree not to:

• Copy, modify, adapt, translate, or create derivative works of the Service or any part of it.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service, except where applicable law expressly permits it.
• Remove, obscure, or alter any copyright, trademark, or other proprietary notices.
• Rent, lease, lend, sell, sublicense, or otherwise transfer your license to use the Service to anyone.
• Use the Service or any of its content for commercial resale or to build a competing product, except where explicitly permitted by an open-source license that applies to that specific component.

If you believe content on MaffeiTools infringes your intellectual property rights, email us at support@maffeiflow.com with enough detail to identify the work and the alleged infringement, and we’ll investigate.

The Service lets you submit content — messages, bug reports, feedback, suggestions, files you process in a tool, and any other material you provide to us (collectively, Your Content). As between you and MaffeiFlow, you keep ownership of Your Content.

By submitting Your Content to us, you grant MaffeiFlow a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify (for technical purposes — for example, resizing or reformatting), and use Your Content solely for the purpose of operating, providing, improving, and securing the Service. This license ends when you delete Your Content or close your account, except where we’re legally required to keep it longer.

You’re solely responsible for Your Content, and you represent and warrant that you have all rights necessary to grant the license above and that Your Content does not violate these Terms, applicable law, or any third-party rights.

If you send us feedback or suggestions, you agree that we may use them freely without compensation, attribution, or obligation to you.

The Service may contain links to, or interact with, third-party websites, products, and services that we don’t own or control. We provide those links and integrations for your convenience, and their inclusion doesn’t imply endorsement.

When you visit a third-party site or use a third-party service, that provider’s own terms and privacy practices apply, not ours. We have no control over, and assume no responsibility for, the content, accuracy, privacy practices, or business practices of any third party. You access third-party services at your own risk and should read their terms before using them.

The Service is provided on an “as is” and “as available” basis, with all faults and without warranty of any kind. To the fullest extent permitted by law, MaffeiFlow and its affiliates, officers, employees, agents, and licensors disclaim all warranties, express, implied, or statutory — including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that:

• The Service will meet your requirements or expectations.
• The Service will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components.
• The results obtained from the Service will be accurate, reliable, or complete.
• Any defects in the Service will be corrected.

MaffeiTools provides general-purpose utilities and information. They are not professional advice. Don’t rely on the Service for medical, legal, financial, tax, or other professional decisions — talk to a qualified professional instead.

To the fullest extent permitted by law, MaffeiFlow and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, goodwill, or other intangible losses — arising out of or relating to your use of, or inability to use, the Service, even if we’ve been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you have paid us for use of the Service in the twelve months immediately before the event giving rise to the claim, or (b) one hundred US dollars (US $100). Because the Service is free to use, this cap will typically be US $100.

Some jurisdictions don’t allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply only to the extent permitted by law, and nothing in these Terms limits our liability for fraud, fraudulent misrepresentation, death, or personal injury caused by our negligence.

You agree to defend, indemnify, and hold harmless MaffeiFlow and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

• Your use or misuse of the Service.
• Your breach of these Terms or any representation you make in them.
• Your violation of any third-party right, including any intellectual property or privacy right.
• Any Your Content you submit or transmit through the Service.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

You may stop using the Service at any time. If you have an account, you can request deletion by emailing support@maffeiflow.com.

We may suspend or terminate your access to the Service, in whole or in part, at any time and without notice if we reasonably believe that:

• You’ve violated these Terms.
• Your conduct poses a security, legal, or reputational risk to MaffeiFlow, our users, or third parties.
• We’re required to do so by law.
• We’re discontinuing the Service, a particular tool, or a specific feature.

Upon termination, your right to use the Service ends immediately. The sections of these Terms that by their nature should survive — including Sections on intellectual property, your content, disclaimers, limitation of liability, indemnification, governing law, and these general provisions — will survive termination.

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict-of-laws principles. You and MaffeiFlow agree to submit to the exclusive jurisdiction of the courts of Dubai for any dispute arising out of or relating to these Terms or the Service, except where mandatory consumer protection law in your place of residence gives you the right to bring proceedings in your local courts.

The 1980 United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. If any part of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

We may update these Terms from time to time. When we do, we’ll update the “Last updated” date at the top of this page. If the update is material — for example, a change that meaningfully affects your rights — we’ll provide at least 30 days’ notice before the new Terms take effect, either by posting a prominent notice on the site or, where we have your email address, by emailing you.

Your continued use of the Service after the updated Terms take effect means you accept them. If you don’t agree, you should stop using the Service before then.

MaffeiTools is operated by MaffeiFlow, based in Dubai, United Arab Emirates.
